Section 01

Acceptance of Terms

By accessing or using the website located at https://www.dentalgoldexperts.com (the "Site"), requesting a prepaid shipping label, submitting an inquiry, or physically mailing, shipping, or otherwise delivering materials to Dental Gold Experts ("Company," "we," "us," or "our"), you ("Customer," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"), our Privacy Policy, and any other policies or notices posted on the Site.

The act of mailing or shipping materials to Dental Gold Experts constitutes your legally binding acceptance of these Terms, regardless of whether you have created an account, signed a separate agreement, or acknowledged acceptance through the Site. If you do not agree to these Terms, do not use the Site or submit any materials to us.

These Terms apply to all transactions, interactions, and relationships between you and Dental Gold Experts, including but not limited to the submission, evaluation, purchase, rejection, and return of dental precious metals and related materials.

Section 02

Services Provided

Dental Gold Experts operates as a precious metals purchasing company specializing in the acquisition of dental gold and dental scrap materials from individuals and licensed dental professionals throughout the United States. Our services include:

• Receiving, logging, and processing dental gold, crowns, bridges, porcelain-fused-to-metal restorations (PFMs), partial frameworks, implant crowns, and other dental precious metal materials mailed to us by customers;
• Evaluating, testing, and assaying submitted materials to determine recoverable precious metal content;
• Making purchase offers based on assay results, current market pricing, material composition, and recoverable metal value;
• Issuing payment to customers who accept a purchase offer via check, ACH transfer, wire transfer, PayPal, or other electronic payment methods;
• Returning materials to customers who decline a purchase offer, subject to the conditions set forth in Section 10.

Dental Gold Experts is not a refinery open to the general public, a bullion dealer, a coin dealer, or an investment product dealer. We do not purchase, sell, or process investment-grade bullion, numismatic coins, jewelry (except incidental dental materials), or general scrap metals outside of the dental context. We reserve the right to reject any submission that falls outside the scope of our defined services.

Section 03

Ownership of Materials Sent

By submitting materials to Dental Gold Experts, you represent, warrant, and covenant that:

• You are the sole and lawful owner of all materials submitted, or you are an authorized representative of the lawful owner with full legal authority to sell, transfer, or otherwise dispose of such materials;
• The materials are free and clear of all liens, encumbrances, security interests, and third-party claims;
• You have the full legal right and authority to sell the materials to us;
• You have complied with all applicable federal, state, and local laws governing the possession, transfer, and sale of the materials, including without limitation any laws applicable to dental offices, healthcare providers, or practitioners regarding the disposal or sale of dental materials;
• The materials are not stolen, fraudulently obtained, misappropriated, or otherwise subject to any dispute regarding ownership or title;
• All information you provide in connection with your submission is truthful, accurate, and complete.

Title to submitted materials transfers to Dental Gold Experts upon the earlier of: (a) your acceptance of our purchase offer and receipt of payment, or (b) commencement of irreversible processing procedures — including but not limited to cutting, grinding, melting, or dissolution — which you expressly authorize by submitting your materials under these Terms.

Customer acknowledges that certain evaluation and assay procedures may involve irreversible processing. By submitting materials, Customer authorizes Dental Gold Experts to perform such processing as reasonably necessary for evaluation and agrees that materials subjected to such processing may not be returned in their original form. If you decline our offer and request return of the materials pursuant to Section 10, and irreversible processing has not yet commenced, title shall not transfer and materials will be returned subject to the conditions in Section 10. If irreversible processing has already commenced, title shall transfer pursuant to clause (b) above and return of original materials will not be possible. If you submit materials and we are subsequently unable to reach you or you fail to respond within the timeframes established herein, the materials may be treated as abandoned property pursuant to Section 11.

Section 04

Customer Representations and Warranties

In addition to the ownership representations in Section 3, by submitting materials you represent and warrant that:

• You are at least 18 years of age and legally competent to enter into a binding contract;
• If you are submitting materials on behalf of a dental practice, clinic, laboratory, or other business entity, you are authorized to act on behalf of and legally bind such entity;
• You understand that dental materials may contain residual biological matter and you take responsibility for appropriate handling and compliance with applicable health and safety regulations prior to mailing;
• You understand that submitting materials to us does not guarantee any particular valuation, offer, or payment;
• You have not made any misrepresentations regarding the composition, weight, purity, or origin of the submitted materials;
• You understand and agree that pre-submission estimates provided by our representatives, website tools, calculators, or any other means are non-binding estimates only and do not constitute offers, guarantees, or contracts of any kind.

Any breach of these representations and warranties may result in immediate rejection of your submission, return or forfeiture of your materials at our discretion, referral to law enforcement, and/or legal action.

Section 05

Assay and Evaluation Process

5.1 Evaluation Procedure

Upon receipt of your materials, Dental Gold Experts will:

• Log and document your submission;
• Inspect, sort, and prepare materials for evaluation;
• Remove, separate, or discard non-metallic components including but not limited to porcelain, ceramic, acrylic, stones, composite materials, and other non-precious attachments;
• Weigh, test, and assay materials to determine precious metal content and recoverable value;
• Calculate a purchase offer based on assay results, current spot prices for gold, palladium, silver, and platinum, material composition, and our standard processing margins.

5.2 Weight Adjustments

You acknowledge and agree that the weight of your materials as submitted will differ from the weight of recoverable precious metals after processing. Non-metallic components — including porcelain, ceramic, acrylic, stones, and other attached materials — will be removed prior to assay and will not be included in the precious metal weight calculation. The net weight used to calculate your offer will be based solely on recoverable precious metal content after removal of all non-metallic materials.

5.3 Finality of Assay Results

5.4 Non-Binding Pre-Submission Estimates

Any estimate of value provided to you prior to the completion of our assay process — whether communicated verbally, in writing, via our website calculator, via email, by phone, or through any other channel — is a non-binding preliminary estimate only. Such estimates are based on unverified information you provide and current market conditions at the time of the estimate. They do not constitute an offer, a guarantee of minimum payment, a contract, or a commitment of any kind. Final offers are made solely on the basis of completed assay results.

Section 06

Pricing and Payment Terms

6.1 Offer Basis

All purchase offers are based on: the recoverable precious metal content determined by our assay process; the current market spot price for gold, silver, platinum, and/or palladium at the time the offer is calculated; material type, purity, and composition; and our standard processing, handling, and operational costs.

6.2 Offer Communication

We will communicate our purchase offer to you via email, phone, or other contact method you have provided. Our standard turnaround time after receipt of your materials is approximately 24 to 72 business hours, though processing times may vary and are not guaranteed.

6.3 Acceptance and Payment

If you accept our offer, we will issue payment via your selected or agreed-upon method, which may include check, ACH transfer, wire transfer, PayPal, or other electronic payment methods. Payment is processed promptly following your acceptance of the offer.

6.4 Declined Offers

If you decline our offer, your materials may be returned to you subject to the conditions set forth in Section 10.

6.5 Deductions

Dental Gold Experts reserves the right to deduct from any payout the cost of return shipping, insurance, handling fees, or other charges incurred in connection with your submission, where applicable and as described in these Terms.

Section 07

Market Fluctuation Disclaimer

Precious metal prices are subject to constant market fluctuation and are beyond the control of Dental Gold Experts. The spot price of gold, silver, platinum, and palladium may change between the time you request an estimate, ship your materials, and the time your offer is calculated.

• Pre-submission estimates are based on market prices at the time the estimate is given and are non-binding;
• Your final offer will be based on market prices at the time your assay is completed;
• Dental Gold Experts is not responsible for any decrease in metal prices occurring between the time you ship your materials and the time your offer is made;
• Market volatility, exchange rate changes, or economic conditions do not constitute grounds for dispute of a completed offer.

You accept all risk associated with market price fluctuation from the time you decide to submit your materials until the time you accept a purchase offer.

Section 08

Shipping Risk and Insurance

8.1 Customer Responsibility for Inbound Shipments

All materials mailed or shipped to Dental Gold Experts are sent at your sole risk. Whether you use your own packaging and carrier or a prepaid shipping label provided by us, you are responsible for properly packing, securing, and insuring your shipment prior to mailing.

8.2 Prepaid Shipping Labels

If Dental Gold Experts provides you with a prepaid shipping label:

• The label is provided as a courtesy and convenience only;
• Provision of a prepaid label does not constitute assumption of liability for loss, theft, damage, delay, or misdelivery by the carrier;
• You remain responsible for properly packaging your materials and for purchasing any additional insurance coverage you deem appropriate;
• Dental Gold Experts does not guarantee the reliability, delivery time, or insurance coverage associated with any prepaid label;
• In the event of carrier loss or damage, claims may need to be coordinated through Dental Gold Experts and/or the applicable carrier depending on the shipment method and who purchased the label. Dental Gold Experts will cooperate reasonably in any such claim process but does not guarantee recovery and is not liable for carrier errors or failures.

8.3 Insurance

We strongly recommend that you insure all shipments for their estimated full value. Dental Gold Experts assumes no liability for uninsured shipments that are lost, stolen, damaged, or delayed in transit.

Section 09

Lost, Stolen, or Damaged Packages

Dental Gold Experts is not responsible for packages that are:

• Lost, stolen, or damaged in transit to us;
• Delayed by the carrier for any reason;
• Misdelivered due to inaccurate, incomplete, or illegible addressing provided by the customer;
• Damaged due to improper packaging by the customer;
• Intercepted, seized, or delayed by customs, law enforcement, or regulatory authorities.

Once a package containing your materials is in the possession of Dental Gold Experts and has been logged into our system, we take reasonable steps to secure and account for your materials. However, our liability for loss or damage to your materials while in our possession is limited as set forth in Section 14.

In the event of a lost or missing package, you must file a claim directly with the carrier. Dental Gold Experts will cooperate reasonably in providing information relevant to such claims but is not liable for carrier errors or failures.

Section 10

Return Shipping & Rejected Offers

10.1 Right to Decline

You have the right to decline our purchase offer. If you decline, you may request that your materials be returned to you, subject to the conditions below.

10.2 Customer Responsibility for Return Costs

If you decline our offer and request return of your materials, you are solely responsible for all costs associated with the return shipment, including but not limited to: return postage and carrier fees; insurance on the return shipment; and handling and packaging fees, as applicable. Return shipping will not be initiated until full payment for return postage, insurance, and applicable handling fees has been received by Dental Gold Experts.

10.3 Deduction from Payout

Where applicable, Dental Gold Experts reserves the right to deduct return shipping costs, insurance, and handling fees from any payout amount owed to you, or to require prepayment of such amounts before materials are returned.

10.4 No Liability for Uninsured Returns

Dental Gold Experts is not responsible for the loss, theft, damage, or delay of return shipments that the customer has declined to insure. If you elect to forego insurance on your return shipment, you do so at your sole risk. Dental Gold Experts' liability for any return shipment ends upon delivery of your materials to the carrier.

10.5 Time Limit for Return Requests

Return requests must be submitted within 15 calendar days of our offer communication, provided we have made at least two good-faith contact attempts during that period. After this period, if we have not received a return request or offer acceptance from you, your materials may be treated as abandoned property pursuant to Section 11. We are not obligated to store materials beyond the stated period.

Section 11

Abandoned Property

If, after a purchase offer has been communicated to you, you fail to accept the offer, decline the offer and request return of your materials, or respond to our communications within 15 calendar days of the date of our offer communication (provided we have made at least two good-faith contact attempts using the contact information you provided), your materials will be deemed abandoned property. In such cases, Dental Gold Experts reserves the right to:

• Process and purchase the materials at the offered price;
• Dispose of, donate, or otherwise handle the materials at our sole discretion;
• Deduct any applicable storage, handling, or administrative fees.

Dental Gold Experts will make reasonable efforts to contact you using the contact information you provided. We are not responsible for our inability to reach you due to inaccurate, outdated, or incomplete contact information. It is your responsibility to provide accurate and current contact information and to respond to our communications in a timely manner.

Section 12

Fraud Prevention / Anti-Money Laundering

12.1 Prohibited Submissions

Dental Gold Experts maintains a strict policy against purchasing materials that are stolen, fraudulently obtained, misrepresented, or otherwise subject to a legal dispute. By submitting materials to us, you certify that:

• The materials are not stolen or misappropriated from any individual, dental practice, business, or other entity;
• The materials are not counterfeit, adulterated, or misrepresented as to their composition, purity, or origin;
• You are not submitting materials on behalf of any third party without proper authorization;
• Your transaction with us does not constitute or facilitate money laundering, structuring, or any other financial crime.

12.2 Compliance with Law

Dental Gold Experts reserves the right to request government-issued identification and documentation from any customer as a condition of completing a transaction. We comply with all applicable federal and state laws governing the purchase of precious metals, including applicable anti-money laundering (AML) regulations and record-keeping requirements.

12.3 Reporting

We reserve the right — and may be required by law — to report suspicious transactions to appropriate law enforcement or regulatory authorities. Submission of fraudulent, stolen, or misrepresented materials may result in: immediate rejection or forfeiture of submitted materials; refusal of payment; notification to and cooperation with law enforcement; and civil and/or criminal liability.

Section 13

Right to Refuse Service

Dental Gold Experts reserves the right, in its sole and absolute discretion, to:

• Refuse to accept, evaluate, or purchase any materials submitted to us;
• Return materials without making an offer;
• Terminate any transaction at any stage prior to final payment;
• Refuse service to any customer, for any reason or no reason, provided such refusal does not violate applicable law.

Exercise of this right does not give rise to any liability on the part of Dental Gold Experts.

Section 14

Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

No Guarantee of Value

No Fiduciary Relationship

Nothing in these Terms, and nothing arising from your use of the Site or your submission of materials to Dental Gold Experts, creates any fiduciary, agency, partnership, joint venture, consignment, trust, or employment relationship between you and Dental Gold Experts. We act solely as an arms-length buyer of precious metals. We are not your agent, broker, financial advisor, or representative and owe you no fiduciary duties of any kind.

Section 17

Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, icons, data compilations, software, and the overall design and layout, is the exclusive property of Dental Gold Experts or its content providers and is protected by U.S. copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, republish, upload, post, transmit, distribute, or modify any content from this Site for commercial purposes without our prior written consent. Limited, non-commercial personal use is permitted provided you do not remove any proprietary notices.

Section 18

Privacy

Your use of this Site and our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Site or submitting materials to us, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy. By submitting materials or providing your contact information to Dental Gold Experts, you consent to receive communications from us electronically, including via email, SMS/text message, and phone, regarding your submission, purchase offers, transaction updates, return requests, and other matters related to your account or transaction. Standard message and data rates may apply to SMS communications. You may opt out of non-transactional communications at any time by contacting us at info@dentalgoldexperts.com.

Section 19

Indemnification

You agree to indemnify, defend, and hold harmless Dental Gold Experts, its owners, officers, employees, agents, contractors, successors, and assigns from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of any representation, warranty, or obligation under these Terms;
• Your submission of stolen, fraudulent, counterfeit, or misrepresented materials;
• Any claim by a third party that you did not have the right to sell or transfer the submitted materials;
• Your violation of any applicable law, regulation, or third-party right;
• Your negligence or willful misconduct.

Section 20

Governing Law

These Terms and all disputes arising out of or relating to them, your use of the Site, or your transactions with Dental Gold Experts shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration as provided below, you consent to exclusive jurisdiction and venue in the state and federal courts located in Harris County, Texas.

Section 21

Dispute Resolution / Arbitration

21.1 Informal Resolution

Before initiating any formal dispute process, you agree to contact us at the address listed in Section 25 to attempt to resolve any dispute informally. We will make good-faith efforts to resolve any dispute within 30 days of receiving written notice.

21.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, the breach thereof, or your transactions with Dental Gold Experts shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Arbitration Rules if applicable), with arbitration to take place in Harris County, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction where necessary to prevent irreparable harm.

Changes to Terms

Dental Gold Experts reserves the right to modify, update, or replace these Terms at any time in its sole discretion. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site or submission of materials to us after any such changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically. If any change is material, we may notify you by email (if we have your email address) or by a prominent notice on our Site.

Section 23

Force Majeure

Dental Gold Experts shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to natural disasters, severe weather, acts of God, carrier disruptions, internet or utility outages, labor disputes, government actions, pandemics, market disruptions, cyberattacks, or failures of third-party service providers.

Section 24

Entire Agreement

These Terms, together with the Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and Dental Gold Experts regarding your use of the Site and services and supersede all prior or contemporaneous communications and understandings.
